Progress in corporate governance and execution

Proxene has established an effective governance structure in accordance with the "Corporate Governance Code of Practice". The board of directors appoints a corporate governance director to be responsible for executing and promoting corporate governance-related matters, assisting directors in complying with laws and regulations, providing directors with information required for business execution, and handling board meetings, shareholders meetings and other related matters in accordance with the law.


Scope of authority of the corporate governance manager

Handle matters related to the meetings of the Board of Directors and the Shareholders in accordance with the law

Prepare minutes of board of directors and shareholders meetings.

Assist directors in taking office and continuing their studies.

Provide information required by directors to perform their duties.

Assist directors to comply with laws and regulations.

Report to the Board of Directors on the results of its review of whether the qualifications of independent directors at the time of nomination, election and during their term of office comply with relevant laws and regulations.

Handle matters related to changes in directors.

Other matters stipulated in the company's articles of association or contract and amendments to laws and regulations related to corporate governance.
